Enrollment Option
☐ Option A — Van WITH Driver. The Owner enrolls the van together with a driver supplied by the Owner, who must separately sign the Company’s Driver Agreement and meet all Company and legal requirements.
☐ Option B — Van WITHOUT Driver. The Owner enrolls the van only, and the Company assigns a qualified driver to operate it.
1. Purpose
The Owner wishes to enroll the vehicle described above (the “Van”) in the Company’s transportation and party-rental service, and the Company agrees to place the Van into service under the terms of this Agreement. The Owner retains legal title to the Van at all times. Nothing in this Agreement transfers ownership of the Van to the Company.
2. Owner’s Choice When the Van Has No Driver
2.1 Applies to. This Section applies to any Van enrolled without a driver (Option B), and to any Van enrolled with a driver (Option A) whose driver stops working, resigns, is removed, or is otherwise no longer available.
2.2 Owner’s election. If no driver is available for the Van, the Company will notify the Owner in writing (including by text or email). Within seven (7) calendar days of that notice, the Owner must choose, in writing, one of the following:
- (a) Leave the Van with the Company — the Van remains in the Company’s custody while the Company seeks a new driver; or
- (b) Take the Van back — the Owner retrieves the Van and goes with it, under Section 3.
If the Owner makes no election within the seven-day period, the Owner will be treated as having chosen option (a), and the monthly parking fee in Section 2.3 will begin to accrue.
2.3 Conditions if the Owner leaves the Van with the Company. If the Owner chooses (or is treated as choosing) to leave the Van with the Company, the Owner agrees to:
- Keep minimum state insurance. Continuously maintain, at the Owner’s own expense, at least the minimum motor-vehicle insurance required by Florida law for the Van, including Personal Injury Protection (PIP) and Property Damage Liability (PDL) under Sections 627.733 and 324.022, Florida Statutes, and deliver proof of that insurance to the Company on request and at each renewal.
- Pay a monthly parking fee. Pay the Company a parking/storage fee of $____________ per month, due in advance on the 1st day of each month. The fee for a partial month is prorated by day. Any payment more than ten (10) days late incurs a late fee of $____________.
- Keep registration current. Keep the Van’s Florida registration and license plate valid and current.
2.4 Unpaid fees. If parking fees remain unpaid for more than sixty (60) days, the Company may give written notice requiring the Owner to remove the Van and pay all amounts owed. The Company may also exercise any lien or remedy available to it under Florida law, including Section 713.78, Florida Statutes, where applicable.
2.5 Storage risk. While parked or stored, the Van remains at the Owner’s risk of loss, theft, weather, and natural disaster, except for damage caused by the gross negligence or willful misconduct of the Company or its employees.
3. Taking the Van Back — Insurance Deposits Are Not Refunded
3.1 Return of the Van. The Owner may take the Van back by giving the Company at least seven (7) days’ written notice and paying all parking fees, charges, and other amounts owed to the Company through the date of return. A written vehicle-condition and mileage report will be signed by both Parties when the Van is handed over.
3.2 No refund of insurance deposits. The Owner understands and agrees that if the Owner decides to take the Van back, no insurance deposit, down payment, premium, or fee previously paid for insurance assigned to or covering the Van while it was enrolled with the Company will be refunded or reimbursed — whether by the Company or, as a general practice, by the insurance company. The Owner acknowledges having been advised of this before signing. Any refund that an insurance carrier might choose to issue is solely between the Owner and that carrier and is governed by the carrier’s policy terms; the Company makes no promise that any refund will be available.
3.3 Owner’s responsibility after return. From the moment the Van is returned to the Owner, the Owner is solely responsible for its insurance, registration, operation, storage, and maintenance.
4. Automatic Deactivation of Insurance When the Van Is Off the Road
4.1 Automatic deactivation. Under all circumstances, once the Van is not on the road — including when it is parked, in storage, under repair or inspection, without a driver, suspended, out of service for any reason, or returned to the Owner — any insurance coverage provided or arranged through the Company for the Van is automatically deactivated in the Company’s system, without any further notice to the Owner.
4.2 Reactivation. Coverage through the Company is reactivated only when the Van is placed back into active service by the Company with an approved driver.
4.3 Owner’s own policy must stay in force. Deactivation of coverage in the Company’s system does not cancel or replace the Owner’s personal or commercial policy. Florida law requires the owner of a registered vehicle to keep the required insurance in force continuously, and a lapse can lead to suspension of the vehicle’s registration and license plate and other penalties. Keeping that insurance in force is the Owner’s sole responsibility, and the Company is not liable for any loss, fine, or suspension resulting from a lapse in the Owner’s insurance.
5. Owner Representations
The Owner represents and warrants that: (a) the Owner is the lawful registered owner of the Van, or is authorized in writing by the lienholder or owner to enroll it; (b) the Van is properly registered in Florida and is roadworthy, safe, and free of open safety recalls; (c) all information the Owner provides is true and complete; and (d) the Owner will promptly inform the Company of any accident, lien, recall, insurance change, or registration issue.
6. Use, Maintenance, and Compensation
6.1 Use. While in service, the Van will be used only for the Company’s lawful passenger transportation and party-rental services and only by drivers approved by the Company.
6.2 Maintenance. Routine maintenance, mechanical repairs, tires, and inspections are the responsibility of the Owner, unless otherwise agreed in writing. Neither Party may make major repairs over $500.00 without the other’s written approval, except in an emergency.
6.3 Compensation. The Owner’s share of revenue, payment schedule, and any deductions are set out in Schedule A, which is part of this Agreement.
7. Indemnification and Limitation of Liability
Each Party will indemnify and hold harmless the other from claims, damages, and expenses (including reasonable attorneys’ fees) arising from its own negligence, willful misconduct, or breach of this Agreement. The Company is not liable for ordinary wear and tear, mechanical failure not caused by the Company, or any indirect, incidental, or consequential damages, including loss of income.
8. Term and Termination
This Agreement begins on the Effective Date and continues month to month until terminated. Either Party may terminate it for any reason with thirty (30) days’ written notice, or immediately upon the other Party’s material breach, loss of required insurance, or suspension of the Van’s registration. Sections 2.4, 3, 4, and 7 survive termination.
9. Governing Law and Venue
This Agreement is governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any action arising from this Agreement shall be brought exclusively in the state courts located in Miami-Dade County, Florida, and the Parties consent to that jurisdiction. The prevailing Party in any such action is entitled to recover reasonable attorneys’ fees and costs.
10. General Terms
This Agreement, with its schedules, is the entire agreement of the Parties and replaces all earlier discussions on the subject. It may be changed only in a writing signed by both Parties. If any provision is found unenforceable, the remainder stays in effect. Notices must be in writing and delivered by hand, mail, or email to the addresses above. Electronic signatures and records have the same force as originals under the Florida Uniform Electronic Transaction Act (Section 668.50, Florida Statutes) and the federal E-SIGN Act. The Owner acknowledges having had the opportunity to review this Agreement with an attorney before signing.
